A manual offers expert advice on selling a business.

Coffey, who wrote The Private Equity Playbook(2019) and has “bought, sold, and financed around one hundred companies in twenty years,” makes a compelling argument for owners to prepare for a business sale years before they’re ready. Whether or not they heed that sound advice, entrepreneurs are sure to benefit from the author’s wisdom. This four-part “playbook” covers the bases: looking at buyers, preparing a business for sale, working with advisers, and managing the sale process. Part 1 addresses two basic types of buyers: strategic and financial. Coffey compares and contrasts them, supplying insights into each. Included is a nifty formula to estimate the size of a target financial buyer. A brief section discusses other buyer types, including Special Purpose Acquisition Companies, which are currently in vogue. Part 2 is all about preparing for a business sale; the information shared by the author here is invaluable. Coffey provides a clear definition of the variations of “earnings before interest, taxes, depreciations, and amortization”—“a measure by which all companies are valued by most strategic and financial buyers.” He deftly explains such key financial terms as cash-basedversus accrual-based accounting, generally accepted accounting practices, and quality of earnings. He also delivers a useful chapter that will likely help business owners increase the value of their companies by isolating their real estate holdings from any sale. Tax advisers, accountants, attorneys, and investment bankers are considered in Part 3. Not only does Coffey describe these roles succinctly, he also presents lists of questions to ask when evaluating such professionals. In Part 4, the author does an excellent job of detailing a typical business sale process, including steps, documentation, and meetings. The “example questions” to ask financial or strategic buyers are sure to help any seller garner vital information. This section also features sage counsel regarding how sellers should behave and why it could be beneficial for them to remain involved in a company even after a sale. Business owners who digest the instructive material in this book should be far better prepared for a maximum value sale.

Introduced by Facebook executive and founder of Leanin.org Sheryl Sandberg, Lewis’ second cousin, the book offers exuberant advice for people who want to make a leap—daring or modest—from one career path to another, just as he did. At the age of 24, working for the investment firm Bain Capital, the author felt restless and dissatisfied. “I began to realize,” he writes, “that I wanted this life mostly because I thought I should,” but he heard “a very distinct if faint voice” urging him to try something “very different.” As he considered following his passion to become a professional squash player, Lewis sought advice from others who made similar jumps: a banker-turned-cyclist, for example, and a journalist-turned-politician. From them, and the others whose stories fill the book, he came up with the idea of the Jump Curve, a process of four key phases: listening to your inner voice, making a practical plan, believing in your own good luck, and rejecting regret. “You will come out stronger,” Lewis insists, even if your initial plan fails. “I keep coming back to the idea of agency,” said a man who made a move from corporate hospitality service to restaurant ownership: “the difference between life happening to you versus you making life happen.” Among the individuals profiled are a nurse who, at the age of 50, became a doctor; a football player–turned-writer; an investment professional who became coxswain of the U.S. Paralympic Rowing Team; a PR executive who found her calling as an Episcopal bishop; and a lawyer who sued the New York fire department to admit women firefighters—and then became the first woman hired. “Harassment, discrimination, death threats,” and physical abuse dogged her 25-year career. But, she says, “this was a jump worth fighting for,” a sentiment that Lewis underscores. Changing careers is risky, but “there is a risk to not taking a jump at all.”

THE CRISIS OF DEMOCRATIC CAPITALISM

A vigorous defense of democratic capitalism worthy of the name.

A close look at the push-and-pull, often dysfunctional workings of democracy and capitalism.

Distinguished financial journalist Wolf, author of The Shifts and the Shocks, opens by noting his generally pessimistic outlook, which enables him to be pleasantly surprised when things don’t go down in flames. “I have never taken peace, stability, or freedom for granted and regard those who do as fools,” he writes. Considering the rise of authoritarianism and the supremacy of predatory capitalism, he has reason to be glum, but while he seldom brightens from his starting point, neither does he write off the democratic experiment as dead. Even so, he notes, “a liberal democracy is a competition for power between parties that accept the legitimacy of defeat.” A healthy capitalist economy is one that values things other than profit, which, the author argues, should not be the sine qua non of the reigning ideology but instead “a by-product of pursuing other goals, such as making excellent cars or providing reliable advice.” While the autocracies of Orbán, Erdogan, Xi, Putin, and Trump are essentially mediocre, combining “the vices of populism with the evils of despotism,” they can still prevail. But as long as capitalism does not slide into autarky and democracy does not devolve into authoritarianism, the joined system of democratic capitalism has a chance of thwarting the ambitions of, say, China, which by Wolf’s account represents the greatest existential threat to the West. Chinese officials do not necessarily want military dominance; rather, they seek to “make trade, commerce, and investment the foundation of a Chinese-led global order.” In order to maintain a functioning system of democratic capitalism, Wolf argues for the renewal of a social contract that renounces nationalism and extends citizenship as “the tie that binds people together in a free and democratic society,” creating a true level playing field.
